Expand Energy

Expand Energy is North America's largest natural gas producer, formed by the October 1, 2024 completion of the Southwestern Merger (Chesapeake Energy plus Southwestern Energy); it operates in the Haynesville and Bossier Shales in Louisiana and Texas ('Haynesville') and the Marcellus and Utica Shales in Pennsylvania, Ohio and West Virginia ('Northeast Appalachia' and 'Southwest Appalachia'), holding working interests in approximately 6,600 (4,600 net) wells as of 2025-12-31.

Expand's approximately 0.5x net-debt-to-EBITDAX leverage ratio as of 2026-06-30 is the lowest disclosed among the names in this repo's natural gas coverage (Range Resources discloses 0.8x at year-end 2025); the research pack's own cohort data does not carry a direct leverage-ratio comparison across EQT, Antero, Range Resources and Comstock, so this is a cross-thesis comparison rather than a cohort-computed one.

On the filed-competitor cohort (EQT, Antero, Range Resources, Comstock), re-struck at the 25 September 2026 close, Expand is the cheapest name on seven of nine valuation measures and is NOT cheap on the eighth. It ranks first on EV/EBITDA (3.6x against a two-peer median of 6.65x), EV/EBIT (6.6x against 9.2x), EV/Sales (1.7x against 3.35x), P/E (7.4x against 10.3x), P/S (1.5x against 2.35x), P/B (1.1x against 1.4x) and P/TBV (1.0x against 1.35x). On price to free cash flow it is 7.9x against a three-peer median of 7.7x - third of four, above the median rather than below it. Its return on invested capital of 10.9% is second-highest of the five and its return on equity of 14.7% is mid-pack. Antero and Comstock remain withheld from the EBITDA- and EBIT-based metrics because the vendor's income statement for them cannot be reconciled.
against this

Price to free cash flow is the one multiple that charges the company for the capital it must spend to hold production flat, and on that measure the discount disappears entirely. That is the strongest single argument that the cheapness on the other seven is a measurement artefact of a capital-intensive business rather than a mispricing - Expand's TTM capital programme of roughly $2.75-2.95B against $4.5B-plus of operating cash flow leaves proportionally less free cash than the earnings multiples imply.

  1. 2026-09-26editedRe-struck on the pack refreshed 2026-09-26 at the 25 September close. The shares fell 8.4% from $94.83 and the peers moved too: every multiple is lower, every rank is unchanged, and on price to free cash flow Expand is still just above the median (7.9x against 7.7x). The returns, struck on June trailing figures in both packs, did not move.

On February 6, 2026, Expand's board terminated CEO Domenic (Nick) J. Dell'Osso, Jr. without cause, effective immediately; he also resigned from the board and serves as an external advisor for a transition period. Board Chairman Michael Wichterich was appointed Interim President and CEO the same day, and the 8-K discloses no reason for the termination. On October 19, 2026 the board appointed Daniel E. Brown, age 51, as President and CEO and a director, effective on the start of his employment, anticipated October 26. He was CEO of Chord Energy from July 2024 and of its predecessor Oasis Petroleum from April 2021, after 1998-2021 at Anadarko and Kerr-McGee (U.S. onshore, international and deepwater operations). Wichterich returns to Non-Executive Chairman. The search weighed internal and external candidates. Offer terms: $1,000,000 salary, a 125% target bonus, an annual long-term award with a target value of $8,750,000 (30% restricted units, 70% performance units), and a make-whole award of restricted units at $4,726,662 and performance units at $10,925,584 target value, which the 8-K says compensates for pay forfeited at his prior employer.
against this

The 8-K for February's termination and the October 19 appointment give no reason for the firing, so the cause of the original break stays unknown. The make-whole award, about $15.7M at target, is larger than a year of the annual long-term award and replaces pay from another company's plan; whether it is tied to Expand's results is set by performance units vesting in parts the 8-K describes only partly. A chief executive from a smaller oil producer has not run a gas business of this size.

On 2026-04-22 Expand executed a 20-year LNG sales and purchase agreement with Delfin FLNG 1 LLC to PURCHASE approximately 1.15 million tonnes per annum of LNG at a Henry Hub-linked price, with commercial deliveries expected to commence in 2031. The Q2 2026 10-Q states that 'As of June 30, 2026, all conditions precedent under the agreement have been satisfied and the agreement is effective' and estimates future commitments on the fixed and determinable components of the pricing at 'approximately $2.9 billion over the term of the agreement.' The same disclosure records that 'the previously announced SPAs with Delfin and Gunvor Group Ltd have been terminated.'
against this

The direction of this agreement is the opposite of the one a demand contract would run in. Expand is the buyer, committing roughly $2.9 billion to take LNG from 2031; it is market access, not contracted demand for Expand's own gas, and it adds an obligation of about the same size as net debt to a balance sheet whose strength is the thesis's main comfort. The predecessor SPAs with Delfin and Gunvor were terminated, which is evidence that arrangements of this kind at this company get replaced.

The interim chairman said on the Q2 2026 call (2026-07-29) that the CEO search would take '6 to 9 months', that 'we're at the 6-month mark, and we will meet our goal', and that it was in 'the back third'. It did: the board named Daniel E. Brown on 2026-10-19, 255 days (about 8.4 months) after the 2026-02-06 termination, inside the window that ran to roughly 2026-11-06 (C09). Brown starts about 2026-10-26.
against this

The deadline was management's own and self-graded; meeting it says the board kept its word, not that the choice is right. The appointment came with 18 days of the window left, which is later than 'the back third' implied in July.

  1. 2026-10-19editedManagement's July timeline was tested by the appointment on 2026-10-19: a management claim became a fact with the 8-K behind it, and the window held.

Expand's contractual obligations are several times its net debt and mostly off the balance sheet. The Q2 2026 10-Q discloses aggregate undiscounted commitments under gathering, processing and transportation agreements of $8,977M at 2026-06-30 (remainder of 2026 $791M, 2027 $1,473M, 2028 $1,357M, 2029 $1,011M, 2030 $923M, thereafter $3,422M), which 'are not recorded as obligations in the accompanying condensed consolidated balance sheets', plus the approximately $2.9B Delfin commitment (C30) - roughly $11.9B against net debt of about $3.0B. Against that: the $3.5B credit facility was fully undrawn at 2026-06-30 with $3.5B available, matures September 2030 with two one-year extension options, the debt-to-capitalisation covenant of 65% was complied with, and the earliest senior-note maturity is 2029.
against this

Gathering, processing and transportation commitments are the ordinary cost of moving gas to market for any producer, are partly recoverable from working-interest and royalty owners (the 10-Q says the table excludes any such reimbursement), and are matched by the production they carry - they are not debt and should not be read as debt. What makes the total worth stating is the Delfin component, which is new, incremental, unmatched by any contracted revenue, and was signed under interim leadership.

Southwestern Energy.

A unit-cost observable for the scale mechanism, stated on the Q2 2026 call: 'our procurement of sand comes at roughly 1/3 of the cost of where our competitors are', which management links directly to being able to 'pump larger, more complex completions' and so to higher per-well production. Management put the corporate breakeven at 'around $2.70 today' excluding dividend against a stated mid-cycle price view of '$3.50 to $4', and stated the company owns '75% of all Tier 1 inventory' across a Louisiana position of 'over 2,000 locations, roughly 20 years of inventory'.
against this

Every figure here is management's, unaudited, and the sand comparison names no competitor and no measurement basis - a third of whose cost, delivered or at the mine, on what contract term, is not stated. The '75% of all Tier 1 inventory' claim is bounded by Expand's own definition of Tier 1 and of the acreage it is 75% of, neither of which is disclosed. These are the sharpest unit-cost statements available and they are all self-reported; no outside party publishes basin-level proppant procurement costs.

The Twin Eagle acquisition closed on 16 September 2026, 54 days after the 24 July merger agreement and inside the third quarter management had guided. The agreement had required HSR Act clearance, approval under Canada's Competition Act and FERC approval under Section 203(a) of the Federal Power Act, with seller approval given in advance by irrevocable written consent; the prospectus supplement dated 15 September said all conditions other than those satisfied at closing had been met. The closing 8-K states only that the acquisition was completed: it does not give the price paid after working-capital, cash, debt and expense adjustments, or how much was drawn on the revolving credit facility.
against this

Closing settles whether the deal happens, not what it cost or what it earns. The adjusted price and the revolver draw are undisclosed until the third-quarter 10-Q, and every figure for Twin Eagle's earnings is still the acquirer's own (C32); a quick close under an interim chief executive is evidence of execution on the transaction, not of the judgement behind it.

  1. 2026-09-24editedTwin Eagle closed on 2026-09-16 (8-K Items 5.02/8.01); the claim was a forward statement of closing conditions and a Q3 expectation, and is now the historical fact that the expectation was met.

Expand's senior leadership turned over almost completely across 2026 in a sequence no single filing shows: the CEO was terminated 2026-02-06 (C09); Marcel Teunissen, age 52, was appointed EVP and CFO effective 2026-04-06, joining from Parkland Corporation where he was President, North America and previously CFO 2020-2024, after more than 20 years at Shell including VP Finance for Integrated Gas Ventures; director John D. Gass notified the company on 2026-04-06 that he would not stand for re-election and retired at the June annual meeting; and on 2026-06-23 Gregory M. Larson, VP-Accounting and Controller, resigned, with Teunissen assuming principal accounting officer duties 'on an interim basis' while the company searches for a permanent controller. On the Q2 call Wichterich added that a Chief Risk Officer and a CHRO had also joined and that the Houston business-development team had been rebuilt. On 2026-10-08 Sarah Grose, age 40, who joined in 2019 and was Director of Corporate Accounting from 2021, was appointed Vice President and Chief Accounting Officer and took over principal accounting officer duties, ending Teunissen's interim cover (8-K filed 2026-10-13).
against this

This cuts both ways. An executive bench rebuilt with an experienced integrated-gas CFO is the opposite of a leadership vacuum, and the principal accounting seat has been filled from inside. But the same year replaced the chief executive, the finance chief, a director and the controller, at a company closing a $1.25B acquisition and carrying a $2.9B purchase commitment, and the new chief accounting officer is a first-time holder of that title chosen internally.

  1. 2026-10-19editedThe controller's seat was filled on 2026-10-08 (8-K of 2026-10-13), so the finance chief no longer holds both roles; the claim and its counter-evidence said he did.

against this

35% of the bonus is a retrospective judgement rather than a formula, and the 2026 bonus is described as a qualitative framework; nothing pays on return on capital or per-share production, so the stock-paid merger and the $1.25B Twin Eagle purchase are judged only through shareholder return.

Independent EIA and American Gas Association data (gathered for this repo's Range Resources thesis, describing the same national LNG demand environment) show US LNG feedgas at roughly 17-18 Bcf/day in 2026, up double digits year over year, with the EIA projecting continued export growth in 2027; a separate industry-data source (Industrial Info Resources) reported feedgas volumes actually dipped from about 18.4 Bcf/day in Q1 2026 to about 17.8 Bcf/day in Q2 2026, a real quarter-over-quarter counter-signal within the broader growth trend.

Behind-the-meter, off-grid data-center power is scaling nationally: nearly every hyperscaler is now pursuing behind-the-meter projects, and OpenAI and Anthropic alone have signed leases for more than 10 GW of behind-the-meter power (data reused from this repo's power-sector theses, describing the same national trend relevant to gas-fired power demand).
against this

Behind-the-meter generation still needs a fuel source, and much of the reported behind-the-meter build-out (including xAI's Colossus sites) runs on natural gas - so this substitute competes with the intermediary/marketer path Expand's strategy targets more than it displaces demand for gas itself.

LNG feedgas is at record levels on a decelerating growth rate, and the deceleration is the new fact. The American Gas Association reported on 2026-09-03 that 'Feedgas volumes averaged 17.3 Bcf per day in August, essentially flat compared to July volumes but 8.4 percent higher than the same month last year.' The EIA's own forecast has US LNG exports rising 1.9 Bcf/d in 2026 to average 17.0 Bcf/d and 'an additional 9% (1.5 Bcf/d) in 2027' - so a step down from roughly 13% growth this year to about 9% next, with the latest monthly reading already at 8.4%. The level holds at or near records; the rate is falling as the Plaquemines, Corpus Christi Stage 3 and Golden Pass ramp laps.
against this

A decelerating growth rate on a record absolute level is exactly what a step-change in capacity looks like on the far side of the step, and says nothing about the next tranche: EIA continues to project LNG export growth into 2027, and management stated on the Q2 call that it had 'updated our demand' upward and was 'a bit more bullish on LNG' having 'seen more FIDs taking place'. The deceleration is a fact about the comparison base, not necessarily about demand.

On a pro forma basis, the combined Expand-Twin Eagle portfolio would market approximately 14 Bcf/day, supported by approximately 9 Bcf/day of firm transportation and 49 Bcf of storage, reaching approximately 90% of the North American natural gas market; management raised its targeted incremental free cash flow from its marketing and commercial strategy by 50% to $750M/year, up from the prior target, citing the value of the integrated platform and Twin Eagle's earnings.
against this

The raised $750M/year FCF target is a forward-looking synergy claim issued alongside the deal announcement, the same pattern as the original merger's synergy targets (C04) - directionally credible given the first merger's synergy delivery, but not yet demonstrated for an acquisition that has not closed.

Expand holds a 35% interest in the NG3 pipeline joint venture with Momentum Sustainable Ventures LLC, built to gather and treat Haynesville gas for delivery to Gulf Coast markets including LNG export; the pipeline was placed in service October 1, 2025, and Expand has a gathering agreement covering approximately 900 MMcf/day on average over the next 12 years.

Expand's LNG counterparty is funded and sanctioned. Delfin Midstream announced on 2026-06-03 that it 'has taken a Final Investment Decision ("FID") for the first floating liquefied natural gas ("FLNG") vessel' - a $5 billion decision on a vessel with 'expected export capacity of 4.4 million tonnes of LNG per year' and 'scheduled to begin LNG production in 2030', backed by Global Infrastructure Partners (part of BlackRock) alongside Mitsui O.S.K. Lines, Vitol and Diameter Capital Partners. Expand's 1.15 MTPA is therefore roughly 26% of the sanctioned capacity of that first vessel.
against this

A sanctioned project is not an operating one: first production is scheduled for 2030 and Expand's deliveries for 2031, which is three to five years beyond this thesis's own 18-30 month horizon. Nothing inside the horizon turns on it, and construction schedules for first-of-a-kind facilities - this is the first US floating liquefaction project - slip. Delfin's own FID had already slipped from February after a pipeline explosion.

No research or selling cost is tagged. Revenue swung with gas prices, hedges and the 2024 merger, while 2026 capital of $2.75-2.95B is guided to hold production flat (C07).
against this

The denominator includes hedge gains, asset-sale gains and near pass-through marketing revenue (C42), and FY2024 holds only one merged quarter, so the ratios move with gas prices and deal timing rather than with any cost a growing company adds.

against this

The updated capital range ($2.75-2.95B) is wider and its midpoint modestly lower than the original $2.85B figure issued in February, which could reflect either disciplined capital efficiency or early-year uncertainty being resolved into a range rather than a point estimate.

against this
  • Management said the exact timing of the marketing build is uncertain and that Twin Eagle had only two weeks in the quarter; it gave no restated first-year Twin Eagle contribution.
  • Buybacks of $305M in a quarter in which net debt rose by about $1.5B sit awkwardly beside a stated priority on the balance sheet.

Management's stated economics for Twin Eagle, from the Q2 2026 call: the business will contribute 'more than $200 million of EBITDA in year 1 and grow to $350 million per year as we capture synergies over the next 2 years', against a $1.25B base purchase price - roughly 6.3x year-one cash profit and 3.6x the synergised figure. Twin Eagle's customer relationships carry 'an average retention rate of 90%', the business has been 'profitable every year since inception' over 15 years, and the CFO stated the $200M base has been delivered 'quite ratably over the last couple of years', with 1.5x to 2x that figure in high-volatility periods. Management put the corporate breakeven at 'around $2.70 today' excluding dividend, improving $0.05-$0.10 from the acquisition, $0.10-$0.15 with synergies and about $0.30 if the full $750M marketing and commercial target is delivered.

Management's own framing invites the discount: asked about the synergy risk, the CFO agreed the company has 'a track record of over-delivering and being conservative', which is a reason to expect the number to be beaten and also a reason to note that no outside party has checked it.

Gross debt fell and net debt rose. Long-term debt net was $3,685M at 2026-06-30 against $5,009M at 2025-12-31, a fall of $1,324M driven by the April 2026 redemption of the 5.875% and 6.75% 2029 notes. Cash was $663M at 2026-06-30 and $616M at 2025-12-31, so net debt was approximately $3,022M against $4,393M - but the Q1 2026 release reported net debt of $2.8B at 2026-03-31, meaning net debt ROSE by roughly $220M during the second quarter, while $601M of first-half share repurchases (6.4 million shares, including the 1% excise tax) were funded. The gross-debt reduction was paid for out of the $2.2B cash balance Q1's $2,402M of operating cash flow had built, not out of second-quarter cash generation.
against this

Reading a single quarter's net-debt direction as a trend reversal would be overreach: Q2 2026 was a quarter of deliberately counter-cyclical buying, with management stating it 'repurchased $850 million or 4% of our outstanding shares' precisely because 'our stock price dislocated from our mid-cycle price view'. Choosing to convert cash into shares at a price you think is low is not balance-sheet deterioration. The point is narrower - that the $1.3B figure the thesis quoted is a gross-debt figure and the net figure moved the other way in the most recent quarter.

On 2026-09-17 Expand issued $500M of 5.650% Senior Notes due 2031 at 99.889% of face, senior unsecured and guaranteed by no subsidiary, for net proceeds of about $496.4M before expenses, to be used for 'general corporate purposes'. The prospectus supplement's as-adjusted capitalization at 2026-06-30, reflecting the notes alone, shows cash of $1,157M against $663M actual and total debt, net, of $4,179M against $3,685M, taking senior-note principal from $3,738M to $4,238M. It also discloses that Twin Eagle's own senior secured credit facility - $95M drawn, $282M of letters of credit and $623M available at 2026-06-30, maturing May 2027 - stays in place after closing as an obligation of the Twin Eagle subsidiaries, unguaranteed by Expand, until Expand terminates it; the new notes are structurally subordinated to it.
against this

The notes do not change net debt on their own - the cash they raised sits beside them - and the earliest maturity is still the 2029 notes. What they change is the form of the funding the thesis recorded: the purchase was to be paid from cash and the revolver (C14), and a five-year bond sold the day before closing, with no use named beyond general corporate purposes, may be refinancing that draw or may be additional liquidity. The filings read do not say which.

The sell-side snapshot is 1 strong buy, 16 buy, 5 hold and 0 sell - a Buy, the most favorable consensus among this repo's natural gas coverage (EQT's frozen pack reads 30 buy and 15 hold, Range's 24 buy, 37 hold and 1 sell). Seven open-market insider purchases were disclosed in the pack's 365-day window from 2025-10-15, the latest by Interim CEO Michael Wichterich (1,000 shares at $88.90 on 2026-06-12), with no open-market sales.
against this

A 1,000-share purchase by the interim CEO is a small, largely symbolic transaction relative to his overall compensation package (a $3.6M annual long-term incentive award disclosed in the same 8-K that announced his appointment), so it should not be read as a strong signal of confidence on its own.

  1. 2026-09-26editedRe-read on the pack refreshed 2026-09-26. The snapshot also carries one strong buy the claim had left out, and the insider window is 365 days from 2025-10-15 and holds seven open-market purchases, not four; still no open-market sale. The comparison with the other gas names is now named.

Management put the corporate breakeven at 'around $2.70 today' excluding dividend, improving $0.05-$0.10 from the acquisition, $0.10-$0.15 with synergies and about $0.30 if the full $750M marketing and commercial target is delivered.
against this
  • Every figure here is the acquirer's, issued to justify a deal it had signed three days earlier, and none of it is auditable until Twin Eagle's financials are consolidated. The retention rate, the 15-year profitability record and the ratable $200M base are all assertions about a private company whose accounts are not public. Management's own framing invites the discount: asked about the synergy risk, the CFO agreed the company has 'a track record of over-delivering and being conservative', which is a reason to expect the number to be beaten and also a reason to note that no outside party has checked it.
  • On the Q3 call management gave a Q4 marketing and commercial guide of $80M including Twin Eagle and a $500M target by 2028, but did not restate the more-than-$200M first-year Twin Eagle contribution (C50).

  1. 2026-10-19editedThe board named a permanent chief executive on 2026-10-19 (8-K Item 5.02 and release); the claim's 'no permanent successor named' ended.

Illustratively, adding the $1.25B base purchase price and the $95M drawn on Twin Eagle's facility at 2026-06-30 to the as-adjusted June position - senior-note principal of $4,238M less cash of $1,157M, about $3,081M on the company's own net-debt definition - puts net debt near $4,426M, about $574M below the $5B line this thesis treats as invalidating, where the unadjusted June figure stood about $1,925M below it. The illustration carries no third-quarter cash flow, dividends or buybacks and no closing adjustments to the price.
against this
  • Third-quarter operating cash flow would lower the figure - the first quarter alone generated $2,402M (C33), while buybacks, the dividend and any upward price adjustment would raise it; the illustration could miss by several hundred million either way.
  • Twin Eagle's facility funds a marketing book's receivables and inventory, and Expand has said it will be terminated, so counting its drawings as net debt may overstate the lasting position.

  1. 2026-10-19editedThe board named a permanent chief executive on 2026-10-19 (8-K Item 5.02 and release); the claim's 'no permanent successor named' ended.

Delfin.
  • Twin Eagle
