Growth3/4 ↑
Sales rose 26%, but memory doubled on price while computing fell 14%; the growth narrows to one driver.

Financial position3/4 ↓
Cash nearly covers the 0% notes due 2031, but cash from operations was minus $151.9M as inventory tripled.
Execution record3/4 ↑
Fiscal 2026 beat its guide by 20 points of growth, mostly memory prices, under a new chief executive and finance chief.
Per share capture2/4 →
Diluted shares rose 17.8% in a year as notes and preferred moved into the count, against $74.4M of buybacks.
Potential2/4 →
Growth rests on a memory cycle and neocloud orders nobody has valued; nothing beyond purchase orders is signed.
Risk profile3/4 →
Top ten customers took 66% of sales and supply comes from three memory makers, one buying a stake.

About 13 times the guided year's profit, three-quarters of it memory at shortage prices; the price needs it held.

The Verdict
We rate Penguin Solutions unattractive. It builds memory modules and AI computer clusters, and the business is mixed: memory earned nearly all of its recent profit because memory chip prices soared, while the cluster business lost its biggest customer and has not yet shown it can earn on the new ones. The price is full: it treats next year's guided profit as a normal year, though about three-quarters of it is memory sold at shortage prices, so if those prices ease, buyers will have overpaid. As a bet on its new memory-expansion cards it is safe but with little upside, because they are too small to move the whole.
The long caseAI inference needs more memory than servers hold; CXL cards add it, and Penguin already sells them.

In Q3 fiscal 2026 non-GAAP segment operating income was Integrated Memory $62.2M on $275.1M of sales, LED $4.1M and Advanced Computing minus $1.9M ($3.9M on the segment measure, which includes a $5.8M insurance recovery). Over nine months Advanced Computing earned $33.3M against $91.7M a year earlier and Memory $105.8M against $30.5M.

The company
Servers need memory, and memory chips come from three makers: Samsung, SK hynix and Micron. Penguin buys those chips and builds them into modules designed and tested for a particular customer's servers and network gear, made in Malaysia.
Its second business builds clusters of AI computers for smaller cloud companies, enterprises and governments, then runs them for three to five years with its own software. Those buyers would otherwise order from Dell, Super Micro or another server maker.

Penguin Solutions, formerly SMART Global Holdings, reports three segments: Advanced Computing (AI and high-performance clusters, ClusterWare software, managed services and Stratus fault-tolerant servers), Integrated Memory (SMART Modular memory modules and flash) and Optimized LED (Cree LED). It moved its parent from the Cayman Islands to Delaware in June 2025.
Integrated Memory sells DRAM modules (DDR4 and DDR5), CXL memory add-in cards, flash and SSD products and supply-chain services to server, networking, telecom and industrial makers; Advanced Computing designs, builds, deploys and manages AI clusters; manufacturing is in Malaysia and Brazil was sold down in 2023.
Management says Penguin can build and operate neocloud AI factories on the customer's behalf for three to five years with ClusterWare, and guides Advanced Computing up about 40% in fiscal 2027 on non-hyperscale growth, partly offset by Edge's absence and lower hyperscale sales.

What TrendForce does measure is the memory market it sells into: server memory prices up about 270% in 2026, supply 1% to 2% short of demand with the gap wider in 2027, and the big cloud companies spending about $1.3 trillion in 2027. How we read the multiple
Counting debt and cash, buyers pay about 13 times the operating profit guided for fiscal 2027.
To earn 6 cents a year after tax on each dollar paid, a common rule of thumb for what a share should earn, Penguin must:
Earn about $327M of operating profit every year.
That is exactly the profit guided for fiscal 2027, a year of record memory prices.
About three-quarters of it is memory; if memory fell back to its 2025 profit, operating profit would be near $60M.
Against its own history. Much dearer than its own normal, because buyers now pay for a memory boom as if it lasts.

At $67.59 on 63M diluted shares the equity is worth about $4.26B; adding the $750M of 2031 notes and taking off $647.2M of cash gives an enterprise value of about $4.36B. That is 26 times fiscal 2026 GAAP operating income of $165.6M, 16 times the Q4 run-rate of $278M and 13 times the fiscal 2027 guide's $327M.

The bet: what it pays if it works
The bet is on memory-expansion cards that let AI servers hold more working memory than their slots allow. If they grow into a real line, they add a modest amount to a company valued mostly on everything else.
If they fail, shareholders keep the memory, cluster and lighting businesses, worth most of today's price on next year's guided profit, though less if memory prices turn.

In July 2026 Penguin sold $750M of 0% convertible notes due 2031 (including the $100M option), convertible at about $116.70 a share, with capped calls to $175.05; proceeds retired most of the 2029 and 2030 notes and repaid the $100M revolver drawn earlier.
Penguin is an AI winner whose cloud wins and memory demand keep compounding, with sales reaching $2.75B in fiscal 2028.
We believe
Memory's profit is a shortage price, and the cluster business has not yet shown it earns on the buyers replacing its biggest customer.
Analysts carry the guide forward. The filed numbers show memory earning nearly all of the third quarter's segment profit, and the same business earned just $22.4M in all of fiscal 2024.
We would be wrong if clusters earn a tenth of their sales as profit for two quarters while sales to the new buyers keep growing.

What could go wrong, and how we would know
The risks
The shortage lasts longer. TrendForce sees memory supply short into 2028; memory profit could keep beating the guide for years.
Clusters start earning. Sales to new cloud buyers grew 99% in the latest quarter; if they earn like the old customer did, there is a second engine.
Memory orders run deep. Management says memory orders cover at least four quarters, which could carry profit through fiscal 2027.
A chip maker as owner. SK hynix agreed to buy a 10% stake, which could secure supply, or give a supplier a say over a customer.
Many bets against it. 13.8% of the shares available to trade are sold short, so good news could move the price sharply.
