New orders in the fiscal third quarter of 2026 totalled $934 million, an increase of 158% against $362 million in the prior-year quarter and against $490 million in the fiscal second quarter of 2026, a book-to-bill ratio of 3.0. Backlog reached $2.4 billion as of June 30, 2026, up 69% against $1.4 billion a year earlier and up 35% sequentially from $1.8 billion at March 31, 2026. Three mega orders were awarded in the quarter: a data-centre order with a value exceeding $400 million, a petrochemical order of approximately $75 million in the fertilizer industry, and a liquefied natural gas order of approximately $60 million on the US Gulf Coast.
against this

The chief executive said on the same day's call that this order scale is not repeatable: 'Projects upwards of $400 million are not common in the pipeline other than potential future phases of this particular program.' A book-to-bill of 3.0 driven by one order above $400 million should therefore not be annualised, and the company's own release cautions that backlog 'may not be indicative of future operating results as orders may be cancelled or modified by our customers and associated backlog may not be recognized as revenue on the timeline we expect or at all'.

For the fiscal third quarter of 2026, ended June 30, 2026, Powell reported revenue of $312 million, up 9%; gross profit of $95.3 million, or 30.6% of revenue, up 8% against 30.7% in the prior year; and net income of $52.2 million, or $1.42 per diluted share, up 8%. Revenue growth came from the Commercial and Other Industrial market, which grew 54%, and the Electric Utility market, which grew 18%, partially offset by the Petrochemical market, which declined 49%.
against this

Gross margin of 30.6% was essentially flat against 30.7% a year earlier, so the 8% gross profit growth is volume rather than margin, and the headline mix shift is not costless: the 49% decline in Petrochemical is a real contraction in what was historically Powell's core market, offset by a commercial market that is newer, less proven for this company and - on the chief executive's own account - less price sensitive only while capacity stays scarce.

The $400 million-plus data-centre order was public more than three months before the quarter that booked it. Powell's second-quarter fiscal 2026 results release of 4 May 2026 states: 'Subsequent to quarter end, Powell was awarded a mega data center order with a value exceeding $400 million' related to 'a behind-the-meter design of on-site generation assets'. The fiscal third quarter call of 3 August 2026 calls it 'the previously announced mega data center order'. The same 4 May release carries the chief financial officer's forward margin statement: 'Looking at the current composition of our backlog, we expect margins to remain consistent with the performance levels achieved in the prior year.' Second-quarter revenue was $296.6 million, up 6%, gross margin 29.6%, orders $490 million and backlog $1.8 billion.
against this

This does not make the thesis's headline wrong - the order was genuinely booked in fiscal Q3 and the $934 million order total is genuinely a record - but it does separate two events the August page ran together. The market learned of the largest order in Powell's history on 4 May and marked the shares up to a $328 high by early July; the 34% decline began after the 3 August call, whose new information was the 54% convertibility figure and the growth cap, not the order. What repriced the stock was conversion, not demand.

The chief financial officer disclosed, verbatim: 'So of the other $2.4 billion of backlog, roughly $1.3 billion -- just under $1.3 billion will be convertible over the next 12 months so roughly 54%. So as we spoke last quarter, that was in the low 60s with this big slug of orders, the $900-plus million order bookings that we recognized this quarter that went down to about 54%.' On the ongoing cadence: 'on average, it's about $75 million a quarter of book and bill.' The chief executive separately said 'at Powell, the convertibility takes 1 to 3 years' and that convertibility 'has attenuated a little bit'.
against this

This is the central mechanical finding and it cuts against the headline: the record order quarter made the backlog longer-dated, not shorter. Near-term convertibility fell from the low sixties to 54% precisely because the orders won were large and slow. The offsetting reading is that a longer-dated backlog is also a more durable one - $2.4 billion against roughly $1.2 billion of annual revenue is more than two years of work already booked, which is a different and better problem than an empty order book.

The chief financial officer stated on the fiscal third quarter 2026 call that Powell will not deliver double-digit revenue growth at current conversion rates. Verbatim: 'As we build the backlog, that's probably a good barometer to kind of pinpoint it's, we're not going to see double-digit Vs probably given the backlog conversion rate that we've seen over the last, call it, trailing 12 months or year-to-date anyway.' ('V' is his shorthand for a year-over-year change - earlier in the same answer, 'It was a 9% V versus the prior year'.) He added 'nothing specific to call out at all on the revenue cadence' and 'It's going to be lumpy as we go forward.' The August page quoted this without the two hedges - 'probably' and 'call it' - which made the cap sound firmer than it was said.
against this

Management capping its own growth expectation is unusual and is evidence of candour rather than weakness, and the same executive framed the 9% print as one he was 'very happy with'. But it is also the single most important forward statement in this file: a company whose order book tripled telling the market not to expect double-digit revenue growth is describing a capacity ceiling, not a demand one, and that ceiling is what the multiple has to be judged against.

At the 4 September research pack, on the filed-competitor cohort of nVent Electric, Eaton and Hubbell - all three comparable, none withheld for a margin-reconciliation gap - Powell's trailing multiples are: enterprise value to operating profit 26.2 against a three-peer median of 32.0 (second cheapest of four, above only Hubbell at 23.3); enterprise value to EBITDA 25.3 against 26.5 (second cheapest, having been third in August); enterprise value to sales 5.2 against 5.5; price to earnings 34.5 against 41.7 (second cheapest); price to sales 5.7 against 5.2 (most expensive of four); price to book 8.7 against 6.3 (most expensive); price to free cash flow 27.1 against 35.4. Powell's revenue growth of 7.0% is the slowest of the four against a median of 15.5%, its gross margin of 30.1% the lowest against 35.9%, its operating margin of 19.7% above the 17.7% median, and its return on invested capital of 22.6% the highest by more than double against a median of 9.6%.
against this
  • nVent's 46.2% revenue growth - the figure that lifts the cohort median to 15.5% and makes Powell look slowest - is substantially acquired rather than organic: nVent bought Avail Infrastructure Solutions' switchgear and enclosures businesses for approximately $1 billion in cash during 2025. Comparing Powell's organic 7% against a median inflated by an acquisition overstates the growth gap, though it does not close it, since Eaton and Hubbell grew 15.5% and 10.6% without a deal of that scale.
  • Powell's frame-metric discount to the cohort widened between 24 August and 6 September - from 27.5 against 31.4 to 26.2 against 32.0 - but roughly half of the subject's move is the vendor share-count correction recorded at C22 rather than anything the market did. The August reading was overstated by about 4.6%, so the thesis was harsher on Powell's price than the filed share count supported.

At the 4 September research pack, on the research pack's market tier, Powell's trailing multiples against its own prior-fiscal-year medians are: price to earnings 34.51 against 18.12; price to sales 5.70 against 1.01; price to book 8.72 against 1.90; enterprise value to sales 5.16 against 0.72; enterprise value to EBITDA 23.97 against 10.55. Free cash flow yield is 3.70% against a prior median of 3.92%. Return on equity is 0.275 against a prior median of 0.106 and return on invested capital 0.226 against 0.095.
against this

This own-history comparison is close to meaningless as a valuation signal, and saying so is the point: the prior medians span fiscal 2021 and 2022, when Powell's operating margin was 0.2% and 1.4% (C12). A company earning a 19.7% operating margin and a 22.6% return on invested capital is not the company those multiples were struck on, so the expansion from 1.01 to 5.70 times sales measures a change in the business at least as much as a change in what buyers will pay. The cohort comparison in C13, against live peers today, is the more informative reading.

The chief executive stated on the fiscal third quarter 2026 call that Powell competes on speed rather than price in its commercial market: 'On the commercial side, I think you'll find a theme that delivery speed is still driving the overall value prop to the market. But that's not -- I wouldn't say that's across all the sectors we're in, in Powell. So the industrial market probably a little more price sensitive overall.' He added that competition follows the same theme - 'a little bit more sensitive in the industrial market' - and that research effort is being diverted short-term to obtain third-party laboratory ratings for switchgear entering new verticals. Quoted here verbatim from FMP's transcript of the call; the August page rendered 'value prop' as 'value proposition'.
against this

Competing on delivery speed is an advantage only while capacity is scarce, and the same executive expects the market's rate to attenuate. The rating diversion is a real if small cost of entering the data-centre vertical: the products Powell sold into these new jobs required certifications it had to go and obtain, which is evidence the commercial vertical is genuinely new ground rather than an extension of the existing catalogue.

The chief executive separately said 'at Powell, the convertibility takes 1 to 3 years' and that convertibility 'has attenuated a little bit'.
against this

This is the central mechanical finding and it cuts against the headline: the record order quarter made the backlog longer-dated, not shorter. Near-term convertibility fell from the low sixties to 54% precisely because the orders won were large and slow. The offsetting reading is that a longer-dated backlog is also a more durable one - $2.4 billion against roughly $1.2 billion of annual revenue is more than two years of work already booked, which is a different and better problem than an empty order book.

Powell's fiscal 2025 10-K competition section names classes and no company: 'We compete with a small number of multinational competitors that sell to a broad industrial and geographic market, as well as smaller, regional competitors that typically have limited capabilities and scope of supply.' The same filing concedes that 'Some of our competitors are significantly larger and have substantially greater global resources' and that 'Certain of our competitors may have lower cost structures or a more favorable geographic footprint and may, therefore, be able to provide their products or services at lower prices.' Products are sold directly to the end user or to an engineering, procurement and construction firm, and are 'typically awarded in competitive bid situations'.

The chief executive said on the same day's call that this order scale is not repeatable: 'Projects upwards of $400 million are not common in the pipeline other than potential future phases of this particular program.' A book-to-bill of 3.0 driven by one order above $400 million should therefore not be annualised, and the company's own release cautions that backlog 'may not be indicative of future operating results as orders may be cancelled or modified by our customers and associated backlog may not be recognized as revenue on the timeline we expect or at all'.

historical · fiscal Q3 2026written 2026-09-06

The data-centre order exceeding $400 million is, in the chief executive's words on the fiscal third quarter 2026 call, 'a behind-the-meter generation asset'. Verbatim: 'It's roughly a 2, 2.5-year burn. It is a job that we broke up into multiple factories. It's touching at least 5 facilities here in North America.' He noted it involves 'not a lot of design work', and said 'there are multiple phases in the future' which he believes 'will be a copy to the job that we just took, assuming we're successful'. The prepared remarks describe it as 'Phase 1 of a multiphase behind-the-meter design of on-site generation assets', so what is booked is one phase of a programme, not the programme.
against this

The future phases are unawarded and the chief executive qualified them twice - 'assuming we're successful' and 'nothing in the near term'. A two-and-a-half-year burn on a single order also means most of its revenue lands beyond this thesis's horizon, so the largest order in the company's history contributes to the backlog figure long before it contributes to earnings.

Powell is expanding capacity deliberately cheaply. In August 2025 it announced a $12.4 million investment to add 335,000 square feet of Power Control Room laydown area at its Jacintoport facility in Houston, a 62% increase from current yard capacity, and to double the shoreline bulkhead to 1,150 feet. On the fiscal third quarter 2026 call the chief executive said Powell is pivoting to a leased facility rather than a greenfield build, and put dates and a price on both: 'We are planning to have this future facility available for manufacturing activity late in our second or early third quarter of our fiscal 2027', supported by 'a previously announced $8 million investment in new equipment and upgrades at our Mosley facility', while 'a greenfield Powell owned facility... would require $70 million to $100 million of capital'. On labour: 'It hasn't impacted us yet... We don't see it in the next couple of quarters. So nothing immediate, but our radar is up, and I do believe it will be a challenge in the '27, '28.'
against this
  • The leased facility does not produce anything until late in fiscal Q2 or early Q3 2027 - March to June 2027 - which is after the two prints this thesis's next test and horizon turn on. So the capacity that would lift backlog convertibility above 54% is not available during the period in which convertibility is expected to recover, and the recovery, if it comes, has to come from the existing footprint. Against that, the chief executive attributes the current throughput to running the job across at least five existing plants rather than to any single new one.
  • The $70 million to $100 million greenfield figure is the alternative Powell declined, so it quantifies the capital discipline the thesis credits - but it also quantifies what a competitor willing to spend would need in order to add the capacity that constitutes Powell's moat, which is roughly a tenth of what nVent paid to buy comparable capacity outright.

Powell's year-over-year revenue growth accelerated in each of the three quarters of fiscal 2026 reported so far: +4.04% in Q1 ($251.2 million against $241.4 million), +6.45% in Q2 ($296.6 million against $278.6 million) and +8.90% in Q3 ($311.7 million against $286.3 million). Nine-month revenue is $859.5 million against $806.3 million, up 6.60%. This is the same company whose fiscal-year growth decelerated from 44.8% in 2024 to 9.1% in 2025.
against this

The acceleration is against a fiscal 2025 whose own quarters strengthened through the year, so part of it is a comparison base that was weakest at the start; and it is acceleration within a band the chief financial officer has explicitly capped below double digits, so it is a better shape rather than a different destination. Trailing-twelve-month growth of 7.0% remains the slowest of the four-name cohort against a 15.5% median.

On a like-for-like quarterly basis Powell's gross margin has already stopped rising. Filed quarterly gross margins for fiscal 2026 are 28.43% in Q1, 29.65% in Q2 and 30.57% in Q3, against 24.65%, 29.94% and 30.70% in the same quarters of fiscal 2025 - so Q2 was 30 basis points lower year over year and Q3 13 basis points lower, and the whole of the 100 basis point year-to-date improvement (29.63% against 28.63%) comes from the Q1 comparison against an anomalous 24.65% quarter. Management says the same thing in its own words on the third-quarter call: gross profit as a percentage of revenue 'was roughly flat versus the same period 1 year ago at 30.6% of revenue'.
against this

Two quarters of 13 and 30 basis points is a small movement and well inside the noise of a project business whose margin depends on which jobs closed in which quarter - it is a flattening rather than a deterioration, and the level itself, 30.6%, is the highest third-quarter margin Powell has printed. It matters only because the thesis's A02 assumption is that margin holds near 30% as closeout benefits fade, and the like-for-like series is the first evidence that the fade is now showing up rather than still pending.

Powell's balance sheet carries no drawn debt. As of June 30, 2026 there were no amounts borrowed under its $150.0 million US revolving credit facility (committed $100.0 million by Bank of America and $50.0 million by Texas Capital Bank, expiring October 4, 2028), with $103.9 million of letters of credit outstanding and $46.1 million available; the company was in compliance with all financial covenants. Cash and short-term investments were $634 million at the same date and total stockholders' equity was $756.2 million. Total gross intangible assets were $6.25 million. Powell declared a quarterly cash dividend of $0.09 per share on August 3, 2026.

Sell-side consensus is unchanged from August at 3 buy, 6 hold and 1 sell - a Hold, and the weakest rating distribution of any name in this repo's current coverage. Powell has beaten consensus earnings per share in 4 of the last 8 quarters and missed in the two most recent, by 3.4% on 2026-08-03 and 6.7% on 2026-05-04. Over the 365 days from 2025-09-22 insiders filed 94 Form 4s carrying 79 open-market sales and zero open-market purchases, the rest grants, vestings, withholdings and gifts; sellers include the chairman and chief executive and a director. FINRA's consolidated short interest at the 2026-08-14 settlement was 2,499,783 shares, 8.66% of a 28,850,583-share float and 3.5 days to cover, down 8.5% on the prior settlement and below the 2,817,817 shares of late May.
against this
  • The two sales closest to the fiscal Q3 print were both pre-arranged, which removes the timing inference: the chief executive's 4,500 shares at $207.01 on 2026-08-13 were sold under a Rule 10b5-1 plan he adopted on 2025-11-26, and director Richard Williams's 2,250 shares at $203.05 on 2026-08-14 under a plan adopted 2026-04-06 - both months before the convertibility disclosure of 2026-08-03. The chief executive retained 512,733 shares, so the sale was about 0.9% of his holding. Zero open-market purchases across a year remains a real absence; selling ten days after a bad call does not.
  • Short interest at 8.66% of float is elevated in absolute terms but has fallen from 2,817,817 shares in late May to 2,499,783 in mid-August, so the short base was being covered into the decline rather than built. The figure is settled twice a month and is read as of 2026-08-14, not as of today.

This is the central mechanical finding and it cuts against the headline: the record order quarter made the backlog longer-dated, not shorter. Near-term convertibility fell from the low sixties to 54% precisely because the orders won were large and slow.

The chief financial officer disclosed on the fiscal third quarter 2026 call that project closeouts contributed roughly 100 basis points to gross margin in the first nine months of fiscal 2026, against about 130 basis points in the same period a year earlier. He also said Powell is 'seeing moderate inflation on core commodities, copper, aluminum, steel, things of that nature, and engineered components', partly offset by commodity hedging and commercial discipline.
against this

Roughly 100 basis points of a 29.6% year-to-date gross margin is a non-recurring benefit from closing out completed projects favourably, so the underlying run-rate margin is nearer 28.6%. The contribution is falling year over year, which means the tailwind is already fading rather than about to; against that, the chief executive argues margins have not peaked because automation and the service strategy are accretive, and those are recurring where closeouts are not.

Powell's backlog consists of orders customers may walk away from. The fiscal 2025 10-K states that 'Typically, our contracts may have an early termination for convenience clause at the discretion of our customers; however, most of these contracts typically provide for the reimbursement of our costs incurred and a reasonable margin in the event of such early termination'. It further warns that 'Backlog may not be indicative of future operating results as orders may be cancelled or modified by our customers', that 'From time to time, projects are cancelled, delayed or modified due to customer, industry or macroeconomic conditions', and that 'While we may be reimbursed for certain costs, we may not have a contractual right to the total revenue reflected in our backlog'. Fiscal 2025 bookings of $1.2 billion are reported net of cancellations and scope reductions.
against this

The cost-plus-reasonable-margin reimbursement materially softens this: a cancelled Powell project is not a total loss, and the company reports bookings net of cancellations rather than gross, so the historical order series already absorbs whatever cancellation has occurred. But it is why the three mega orders are recorded here as conditional rather than firm commitments. Nothing in the record quarter is a filed offtake agreement with a named counterparty; they are purchase orders in a backlog whose own governing document says customers may terminate at their discretion.
