The profile · 1-4
Growth3/4 ↑
Revenue nearly doubled on real NdPr volume (+127%), but the record is under two years and concentrated in three customers.
Business quality3/4 ↑
A real, government- and OEM-qualified position on a scarce, permitted asset, but untested by a downturn and facing an emerging domestic rival (USAR) still pre-revenue.
Financial position3/4 →
Roughly $500 million of net cash and DoW cost-sharing on 10X, but the $1.25 billion-plus buildout is not yet fully self-funded from operations alone.
Execution record3/4 ↑
6 of 8 recent EPS beats and a real FY2025 production ramp, tempered by Independence's multi-year path to first commercial magnets.
Per share capture2/4 ↓
A Preferred, Warrant and convertible notes equal to about 37% of shares outstanding sit excluded from EPS only because of the net loss.
Potential3/4 →
A large, bounded upside substantially committed via the DoW's dated, ten-year $140-million EBITDA guarantee on a facility already under construction, not merely an expected cycle.
Risk profile2/4 →
Three customers are 87% of revenue and production sits at one site - the anchor's own worked example of this score.
Valuation2/4 →
The price already assumes 10X and Independence both deliver on schedule and NdPr holds above $110/kg; little is left if either only half-happens.
Evidence quality3/4 →
Central claims are primary filings and a correctly-labeled transcript, plus one independently verified government cross-check (USGS reserves); forward commitments still rest on management's own characterization.

The Verdict
We rate MP Materials neutral. It owns America's only large rare-earth mine and is starting to make motor magnets, with the US government as guaranteed buyer. The business is mixed: the government deal limits the downside, but three customers make up most of sales and the big magnet plant is not built. The price is full, not cheap: it assumes that plant, firm metal prices and unsigned customers, so any miss hurts. As a bet it is fragile: if it works, today's money grows only by about a third; if it fails, a little under half is left. We think the government also claims part of any upside.
The long caseGovernments want magnets made outside China, and MP runs America's only large rare-earth mine; with a price floor behind it, full magnet plants could earn well.

Cross-checked against an independent source: USGS's Mineral Commodity Summaries 2026 estimates total US rare-earth reserves at 1.9 million metric tons - within rounding of MP's own 1.96-million-short-ton Mountain Pass reserve estimate (C05) - indicating Mountain Pass is essentially the entirety of the reserve base the US government itself counts.
MP Materials operates two reportable segments: Materials (mining and processing rare-earth ore at Mountain Pass, California into separated NdPr oxide/metal, SEG+ precipitate, lanthanum carbonate and cerium chloride) and Magnetics (NdFeB permanent magnets and magnetic precursor products manufactured at the Independence Facility in Fort Worth, Texas); Materials supplies NdPr as Magnetics' principal feedstock.

MP ceased all sales of its rare-earth products to China in July 2025 'to align with the terms of the DoW Transaction Agreements,' which drove rare-earth concentrate revenue to zero in Q4 2025 (from $36.8 million a year earlier) and a 14% year-over-year decline in Q4 2025 consolidated revenue despite growth elsewhere. The Shenghe Resources offtake/distribution relationship (MP's historical China channel) was not renewed when it expired in January 2026, and Shenghe ceased to be a related party in Q4 2025.
The DoW Offtake Agreement is not one-directional: commencing on the 10X Facility's Production Milestone Date, if MP sells magnets to third-party customers, the DoW is entitled to the first $30 million of EBITDA attributable to 10X that exceeds the $140-million guaranteed 'Threshold EBITDA Amount' in any calendar year, and 50% of anything above that. The DoW also receives quarterly payments equal to 25% of the Threshold EBITDA Amount, subject to annual true-up.
This mechanism only activates once 10X reaches full production capacity and sells to third parties beyond the DoW's own guaranteed purchase - years away on management's own 2028 commissioning target - so it caps a future state of the business rather than anything in today's results.

Once the 10X Facility reaches full production capacity AND the benchmark price exceeds $110/kg, MP pays the DoW 30% of the amount by which the price exceeds $110 - before 10X reaches full capacity, the 10-Q's own contract language does not describe MP sharing any upside above $110 with the DoW.
The floor guarantee that protects MP today is symmetric with a real, filed cost: once 10X is at full capacity, 30% of any NdPr price strength above $110/kg goes to the DoW rather than to shareholders.

The 10X Facility (Northlake, Texas) is under construction; MP closed on approximately $80 million of land in April 2026 and expects to invest more than $1.25 billion in the project, supported by approximately $200 million of state and local incentives (anchored by a Texas Semiconductor Innovation Fund grant). 10X is expected to begin commissioning in 2028 and, once completed and scaled, to produce an estimated 7,000 metric tons of magnets a year - combined with Independence's 3,000 metric tons a year, expanding total US capacity to an estimated 10,000 metric tons a year.
MP's own 10-K risk factors warn of 'inherent risks in finalizing construction and developing the process technology for magnet manufacturing,' and Independence itself took years longer to reach commercial magnet production (first produced December 2025) than a facility of its kind might be expected to.

The company
Rare earths are the metals inside the permanent magnets that turn electric motors, from car drivetrains to robots and missiles. MP mines rare-earth ore at Mountain Pass and separates it into four products, the most valuable being NdPr, the magnet metal.
At its Independence plant in Fort Worth, Texas, it turns that metal into finished magnets. Before that plant began commercial production in December 2025, an American buyer had almost nowhere to turn but China.

How it makes money
Most of the money still comes from selling separated rare-earth metal. When the NdPr price falls below $110 a kilogram, the government pays the difference, which brought in $59.9M in the first half. Magnets are the next leg, and the second magnet plant, 10X, comes with $140M a year of profit guaranteed by the government.

The moat is the ore. An independent consultant put Mountain Pass's reserve at 1.96 million short tons of rare-earth content, about 28 years of mining; the US Geological Survey puts the whole country's reserve at 1.9 million metric tons. A rival would need decades of permits and exploration.
So the buyers came to MP. The Department of War took a stake, Apple agreed $200.0M of prepayments, and GM named it its foundational magnet supplier.

Right now growth is costly. Overhead has roughly doubled while sales shrank, and in the past year the company spent more on new plants than it took in from sales, so it loses money on its sales. The latest year shows overhead's share easing as sales recover; whether it keeps easing depends on the magnet plants filling up.

Per sales dollar, selling, general and administrative rose from 17.1 cents in FY2021 and 14.4 in FY2022 to 49.9 in FY2025 and 42.3 over the four quarters to June 2026; stock pay from 6.9 to 13.4 and 13.6 cents; capital spending from 37.3 cents to 76.8 and 137.7. Operating margin went from 49.8% and 62.1% to -66.6% and -41.5%. The filer tags no R&D expense; its 'advanced projects and development' line was $24.2 million in FY2025, $12.7 million of it DoW transaction costs.
Most of the rise is a smaller revenue base, not runaway spending: revenue fell from $527.5 million in FY2022 to $224.4 million in FY2025 on NdPr prices while overhead roughly held its dollar path, and the four quarters to June 2026 already show the share falling as revenue recovered.

Annual revenue (vendor series, reconciled to the filed figures): $332.0 million (FY2021), $527.5 million (FY2022), $253.4 million (FY2023, -52.0%), $203.9 million (FY2024, -19.6%) and $224.4 million (FY2025, +10.1%, matching the filed $224,441 thousand in the FY2025 results release). The FY2023-24 decline and FY2025 recovery both predate the DoW Transactions (July 2025) and reflect NdPr pricing and the ramp of separated-product output rather than the government relationship.
The second quarter of 2026 showed the ramp: sales up 89% to $108.5M, and NdPr sold up 127% to 1,006 tons. Ore output fell, by design, because concentrate no longer goes to China.
Profit is still thin. Adjusted profit before interest, tax and depreciation was $28.5M, the government's price-floor payments in the quarter were $17.6M, and the company lost $29.3M before tax.
What it did to the thesisIt showed the plan working: the China sales are gone and the American metal is selling. But profit is still thin and leans on government price-floor payments, and the magnet plant and customers are not yet proven. So the view stays Neutral.

Q2 2026 revenue was $108.5 million, up 89% year-over-year and 20% sequentially. NdPr production was 840 metric tons (up 41% year-over-year) and NdPr sales were 1,006 metric tons (up 127% year-over-year); REO concentrate production fell 16% year-over-year to 11,072 metric tons because concentrate is no longer sold to China (C13).
Q2 2026 segment Adjusted EBITDA was $32.5 million (Materials), $7.5 million (Magnetics) and -$11.0 million (Corporate and other), totaling $40.0 million (partially offset by intersegment eliminations to a consolidated Adjusted EBITDA of $28.5 million). Reconciling to GAAP: less depreciation and amortization of $35.4 million, net interest expense of $9.7 million, stock-based compensation of $11.3 million and initial start-up costs of $13.6 million, plus other income of $12.4 million, produced a GAAP loss before income taxes of $29.3 million.
MP recognized Price Protection Agreement income of $17.6 million in Q2 2026 and $59.9 million for the first six months of 2026. The PPA Upfront Asset on the balance sheet was $221.1 million gross and $187.5 million net of $33.6 million of accumulated amortization as of 2026-06-30, amortizing into depreciation and amortization at roughly $10.9 million per quarter.

Chief Operating Officer Michael Rosenthal made the window's only two open-market purchases (17,000 shares at $56.62 on 2026-05-20; 10,000 at $54.30 on 2026-06-09). Of 49 insider transactions in the window, 2 were open-market purchases and 32 open-market sales.
An absent 10b5-1 flag is not proof of discretion, only the absence of a claimed defence; the filings show intent was not pre-scheduled, not why he sold.
His last Form 4 in the window leaves him holding 11,794,225 shares directly, so the selling trims a very large holding rather than exiting it; and the COO's two purchases, both near today's price, point the other way on a much smaller scale.

Regular commercial magnet deliveries to GM have already been delayed for years relative to when the Independence Facility and the GM agreement were first announced (agreement dated April 2022; magnet manufacturing only began commissioning in late 2025), so a Q4 2026 target carries the same execution risk that has already slipped once.

Counting its debt, MP sells for about 145 times a year's cash profit, against its usual 40. The shares alone cost $8.42B, for roughly $380M to $430M of yearly sales.
For that price to make sense:
The 10X magnet plant must open on time, in 2028.
NdPr, the magnet metal MP mines, must stay at or above the $110 a kilogram the government guarantees.
New customers must sign.
Even then, once 10X runs full, the government keeps 30% of any price above $110, and part of 10X's profit.
Against its own history. Far dearer than its own usual level, paid for a plant that does not yet exist and customers not yet signed.

At MP's $8.42 billion market cap (the 2026-09-30 close of $47.29) against roughly $380-430 million of annualized revenue (the Q2 2026 run-rate) and Materials segment Adjusted EBITDA of $32.5 million in a single quarter (roughly $130 million annualized), the price implies far more than today's segment earnings power - it implies successful, on-schedule delivery of the 10X Facility (commissioning 2028, a $140 million guaranteed EBITDA floor), sustained NdPr pricing at or above the $110/kg floor, and further customer wins beyond the relationships already disclosed, none of which is assured by the DoW's own upside-sharing terms (C10, C11) leaving MP the entire benefit if all of it happens.

against this
Even if 10X and Independence both deliver as guided and NdPr holds above $110/kg, the DoW's own PPA and Offtake terms (C10, C11) claim a real share of the resulting upside, so the price is not simply buying 100% of the good outcome it appears to assume.

Under the Price Protection Agreement (PPA), effective 2025-10-01 through 2035-12-31, the DoW pays MP the shortfall between $110/kg and the realized quarterly benchmark price for NdPr products sold or produced-and-stockpiled at Mountain Pass.

This is a bet on two magnet plants filling up under a government guarantee. Even if both run full within three years and earn what the guarantee implies per tonne, the business would be worth only a little more than today's value, even priced generously. As a bet, the shares look expensive.
If it fails, shareholders keep a mine with a government price floor and some net cash, but the government's preferred shares rank ahead and conversions would add over a third more shares.

The upside-sharing sits in the notes to the filings, not the headlines: 30% of any NdPr price above $110 once 10X is at full capacity, and a first claim on 10X's profit above its guarantee.
We are wrong if NdPr holds above $110 once 10X ramps, the government lets MP sell surplus magnets to others instead of claiming them, and new customers sign before 10X reports.

A plant not yet built. 10X needs more than $1.25B and is due to start commissioning in 2028; any slip delays the guaranteed profit.
Government support can change. The price floor and the purchase promise depend on continued funding and political backing.
Heavy short selling. 23.3% of the shares available to trade were sold short at the mid-September count, up from 20.2% in August.

For the three and six months ended June 30, 2026, three customers exceeded 10% of MP's total revenue: Customer A (Materials segment) was 40% in both periods; Customer B (Materials) was 32% and 29%, respectively; and Customer C (primarily Magnetics) was 15% and 19%, respectively - roughly 87-88% of total revenue in three counterparties. For the comparable 2025 periods the customers were different: Customer D (Materials) 22%/43%, Customer A (Materials) 25%/22%, and Customer C (Magnetics) 35%/21%. The 10-Q does not name any of these customers.

Under the DoW Offtake Agreement (July 2025), the DoW guaranteed the 10X Facility a minimum of $140 million of EBITDA a year (subject to annual escalation) and committed to purchase all magnets produced there, or approve commercial syndication in its place. The agreement also reimburses MP for certain 10X development/start-up costs, capped at $30 million per calendar year before the Commercial Operation Date, and reimburses HREE feedstock working-capital costs with no annual cap.

Under the Price Protection Agreement (PPA), effective 2025-10-01 through 2035-12-31, the DoW pays MP the shortfall between $110/kg and the realized quarterly benchmark price for NdPr products sold or produced-and-stockpiled at Mountain Pass.
In July 2025 MP issued 400,000 shares of Series A Cumulative Perpetual Convertible Preferred Stock to the DoW for $400.0 million cash, convertible at the DoW's election into 13,320,013 common shares at $30.03/share, plus a 10-year warrant for up to 11,201,659 shares at the same $30.03 strike. Combined, the Preferred and Warrant represented approximately 15% of MP's issued and outstanding common stock prior to the DoW Transactions. The Series A Preferred's aggregate minimum liquidation preference (the 'Liquidation Floor') was $428.1 million as of 2026-06-30, up from $413.5 million at 2025-12-31.
FINRA consolidated short interest, settled 2026-09-15: 33,572,608 shares short, 23.3% of float, up 4.6% from the prior settlement, with 7.09 days to cover - an unusually high short interest for a name with this much institutional and government sponsorship; it has risen at each settlement since 2026-07-31 (28.3 million).
2026-10-01editedRefresh trigger reached: FINRA's 2026-08-31 and 2026-09-15 settlements are out. Short interest rose from 29.2 million shares (20.2% of float) to 33.6 million (23.3%).

What we still do not know
Who the two largest customers are; the filings do not name them.
Whether GM's long qualification ends in regular deliveries in the fourth quarter.
How large the new gadolinium supply deal is. Management calls it nine figures over time, locked in on price.

On the Q2 2026 call, CFO Ryan Corbett stated that 'our current expectation is to begin regular production deliveries [to GM] sometime in the fourth quarter' of 2026, describing GM's qualification process as 'a long and painstaking process' with 'extremely encouraging' results so far.

On the Q2 2026 earnings call, CFO Ryan Corbett described the new gadolinium offtake agreement as 'a significant offtake agreement... a long-term deal, representing nine figures over time,' with pricing 'locked in' rather than spot-linked. He characterized it as 'an example of, hopefully, many to come over time.'
No dollar figure, volume or specific term is disclosed beyond 'nine figures over time,' and the counterparty is not named anywhere in the call, the release, or the 10-Q.

What would change our view
Neutral→AttractiveThe plant and the customers both arrive
It needs all of:
○10X stays on track to start in 2028, and GM's regular magnet deliveries begin as planned.watched as it happens
○Sales spread beyond today's three or four big buyers as 10X output ramps.checked at the next results, due by 5 Nov
Neutral→UnattractiveThe schedule or the political support slips
It needs any of:
○10X's start slips well beyond 2028.watched as it happens
○Government funding or political support for the deal is cut or challenged, or NdPr stays below $110 a kilogram long enough to test it.watched as it happens
We would also be wrong if
GM's regular magnet deliveries do not start in the fourth quarter of 2026.
What is coming
5 November 2026 Q3 2026 results: Whether GM magnet deliveries are still set for the fourth quarter, whether revenue holds its growth, and how much the price floor paid.
Every dated event ahead
5 November 2026 Q3 2026 results: Whether GM magnet deliveries are still set for the fourth quarter, whether revenue holds its growth, and how much the price floor paid.
December 2026 First heavy rare earth output (terbium, dysprosium): Whether the heavy rare earth circuit the DoW deal and the special pay awards hinge on starts on time, or slips like Independence did.
December 2026 Regular magnet deliveries to GM begin: Whether Independence is a magnet plant with a paying customer rather than a precursor-metal plant; another slip would test the 10X timeline.
February 2027 Q4 2026 results and the FY2026 10-K: A full year under the price floor and without China sales: revenue mix, the cost of overhead per sales dollar, and the 10X spending plan.
March 2027 Ore sorting facility at full design capacity: Whether lower-grade ore becomes usable feed, which bears on Mountain Pass supplying both magnet plants.
